This Affiliate Agreement (“Agreement”) is between Boggs’ Boards, LLC (“Company,” “we,” “our,” or “us”) and you (“Affiliate,” “you,” or “your”).
1. Affiliate Status and Obligations You are an independent contractor. Nothing in this Agreement creates any partnership, employment, agency, or joint venture relationship between you and the Company. You have no authority to represent or act on behalf of the Company. You agree to conduct all affiliate activities ethically, professionally, transparently, and lawfully. You must not engage in deceptive, misleading, unethical, or unlawful marketing practices.
2. Commissions and Payments You will earn a commission based on a percentage of the sale price for products purchased through your affiliate link, as agreed upon separately. Commissions are paid monthly, provided your earnings reach a minimum threshold of $50. If you do not reach this threshold in a given month, your earnings will accumulate until the $50 threshold is met. If you do not reach $50 within a year, accumulated commissions will be paid annually.
Payments will be made through a mutually agreed-upon method.
3. Tax Responsibilities If your annual commission earnings reach or exceed $600, we will issue a 1099 tax form. You are solely responsible for reporting and paying any taxes resulting from your earnings under this Agreement.
4. Termination We reserve the right to terminate your affiliate status at any time, with or without cause. Grounds for termination include, but are not limited to, misrepresentation of our business or products. Upon termination, any earned commissions will be paid within one month.
5. Modifications to Agreement We reserve the right to amend these terms at any time. Notice of any material changes will be provided to you via email or through your affiliate account dashboard. Continued participation in the Affiliate Program indicates your acceptance of the revised terms.
6. Governing Law This Agreement is governed by and construed according to the laws of the State of West Virginia, without regard to conflict of law principles.
